Welcome to Nearwala. These Terms of Service ("Terms", "Agreement") govern your access to and usage of the Service operated by NearPay Innovations Private Limited ("NearPay", "we", "us", or "our").

1. Agreement to Terms

By installing our application or navigating our website, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must immediately terminate use of our Service.

2. Local Discount & QR Scanning Rules

Nearwala allows users to discover local shop discounts and redeem rewards at checkouts.

Discounts are only valid at participating merchant outlets during operating business hours.
To redeem any cash discount or cashbacks, users must scan the official Nearwala QR code in-store and have the transaction validated by the merchant representative.
We hold no responsibility for disputes between you and merchants regarding quality of retail products, services rendered, or refusal of discounts by merchants.

3. N-Coins Rewards Policy

N-Coins are non-transferable digital tokens awarded for shopping behaviors, referral activities, or brand ad consumption.

N-Coins hold no direct cash value and cannot be redeemed for fiat currency.
We reserve the right to audit wallet transactions and invalidate N-Coins or rewards if checkout fraud, scripting, or terms abuse is detected.
Any N-Coins in your account will expire if your account remains inactive for six (6) months. We will send you notifications to remind you before your N-Coins expire so you have the opportunity to utilize them.

4. Membership Waitlist

Submitting your email address to the Membership Waitlist or AI Shopping Assistant forms represents an expression of interest. It does not guarantee membership approval, launch pricing, or launch availability.

5. Limitation of Liability

NearPay Innovations Private Limited shall not be liable for any indirect, incidental, special, or consequential damages resulting from merchant service failures, app downtime, or location coordinate errors.
